She Commerce Collective Inc. provides professional computer systems design, integrated systems engineering, technical consulting, and related advisory services within the Professional, Scientific, and Technical Services sector. Our services include but are not limited to: systems architecture design, integration planning and implementation, technical consulting, feasibility studies, requirements analysis, system selection and procurement support, implementation management, and post-deployment support and optimization.
Service descriptions, project timelines, and deliverables presented on this website are for general informational purposes only and do not constitute a binding offer or contract. A binding agreement for services is formed only when both parties sign a written Statement of Work or service agreement that references these Terms of Service.
3. Eligibility
By using this website and our services, you represent and warrant that you are at least eighteen years of age and have the legal capacity to enter into binding contracts. If you are accessing the website on behalf of an organization or legal entity, you represent that you have the authority to bind that organization to these terms. The website and our services are not intended for individuals under the age of eighteen.
4. Intellectual Property Rights
All content, materials, and design elements on this website -- including but not limited to text, graphics, logos, images, diagrams, software code, documentation, and audiovisual materials -- are the exclusive property of She Commerce Collective Inc. or its licensors and are protected by Canadian, United States, and international intellectual property laws, including copyright, trademark, and patent laws.

Fees for consulting and design services are as stated in the applicable Statement of Work or service agreement. Payment terms, including due dates and acceptable payment methods, are specified in each agreement. Invoices are due and payable within thirty calendar days from the invoice date unless otherwise stated. Late payments may accrue interest at a rate of one and one-half percent per month or the maximum rate permitted by law, whichever is lower.
All fees are quoted in Canadian dollars unless otherwise specified, in the Statement of Work. She Commerce Collective Inc. reserves the right to adjust its standard fee schedule with thirty days written notice. Any applicable taxes, including provincial sales tax, goods and services tax, or harmonized sales tax, are the responsibility of the client and will be added to invoices where required by law.
7. Confidentiality
Both parties acknowledge that during the course of an engagement, they may disclose confidential information to one another. Confidential information includes but is not limited to business plans, technical specifications, financial data, client lists, trade secrets, proprietary software, and any information that is marked confidential or would reasonably be understood to be confidential given the nature of the information and circumstances of disclosure.
Each party agrees to: maintain the confidentiality of the other partys information for a period of three years following disclosure; use such information solely for the purpose of performing services under the applicable agreement; restrict access to those personnel who have a legitimate need to know; and return or destroy all confidential material upon termination of the engagement. These obligations do not apply to information that is publicly known, independently developed, or rightfully obtained from a third party without restriction.

This website may contain links to third-party websites, platforms, tools, or services that are not owned or controlled by She Commerce Collective Inc. We do not endorse, warrant, or assume any responsibility for the content, functionality, security, privacy practices, or availability of any third-party service. Our total aggregate liability for any claim arising from or related to these Terms or the website shall not exceed the total amount paid by you to She Commerce Collective Inc. for the specific service giving rise to the claim during the twelve months preceding the claim, or one hundred Canadian dollars if no service fees were paid, whichever is greater. This limitation of liability is fundamental to the agreement between the parties and applies even if any remedy fails of its essential purpose.
11. Indemnification
You agree to indemnify, defend, and hold harmless She Commerce Collective Inc., its directors, officers, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses -- including reasonable legal fees and court costs -- arising from or related to: your use of or access to the website; your violation of any provision of these Terms; your violation of any applicable law, rule, or regulation; your infringement of any third-party intellectual property or other right; or any content, data, or information you submit or transmit through the website.
She Commerce Collective Inc. reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification. In such case, you agree to cooperate fully with us in asserting any available defenses.
12. Termination
We reserve the right, in our sole discretion, to suspend, restrict, or terminate your access to the website at any time, with or without notice, for any reason including but not limited to a breach of these Terms or conduct that we determine is harmful to our business, users, or interests. Any provisions of these Terms that by their nature are intended to survive termination -- including intellectual property provisions, warranty disclaimers, liability limitations, indemnification obligations, confidentiality terms, and governing law provisions -- shall survive any termination.
In the event of termination of a service engagement, both parties shall cooperate in good faith to ensure an orderly transition. The client shall pay all fees due for services rendered up to the date of termination. Upon termination, each party shall return or destroy all confidential information of the other party in its possession.
13. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms, the website, or our services shall be resolved through the following process. First, the parties shall attempt to resolve the dispute through good-faith informal negotiation for a period of at least thirty calendar days. If the dispute is not resolved through negotiation, the parties agree to submit the dispute to mediation in Brampton, Ontario, before a mutually acceptable mediator. The mediator shall have no authority to impose a binding resolution without the consent of both parties.
If mediation does not resolve the dispute within sixty days of the initial mediation session, either party may pursue resolution through the courts. By using this website and our services, you irrevocably consent to the exclusive jurisdiction of the courts of Ontario, Canada, for any legal action arising from these Terms. You waive any right to a jury trial and agree to resolve all disputes on an individual basis; you waive any right to participate in a class action or representative action against She Commerce Collective Inc.
14. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles that would require the application of the laws of another jurisdiction. Any legal action arising from these Terms shall be brought exclusively in the courts located in Brampton, Ontario, Canada, and you consent to the personal jurisdiction of such courts.
15. Force Majeure
Neither party shall be held liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to: acts of God, severe weather, earthquakes, floods, fires, explosions, pandemics, epidemics, acts of terrorism, war, civil unrest, strikes, labor disputes, government actions or restrictions, disruptions in internet connectivity or telecommunications, power outages, failures of third-party services or infrastructure, and any other event that is unforeseeable and outside the control of the affected party.
The affected party shall provide prompt written notice of the force majeure event and use reasonable efforts to mitigate its impact. If the force majeure event continues for more than thirty consecutive days, either party may terminate the affected engagement without additional liability, except for fees due for services already performed.
16. Entire Agreement
These Terms of Service, together with any applicable Statement of Work, service agreement, or order form expressly referencing these Terms, constitute the entire and exclusive agreement between you and She Commerce Collective Inc. regarding your use of the website and supersede all prior or contemporaneous agreements, understandings, communications, and representations, whether written or oral.
17. Modifications to Terms
We reserve the right, at our sole discretion, to modify, amend, or update these Terms of Service at any time. Material changes will be posted on this page with an updated effective date. Your continued use of the website after any modifications take effect constitutes your binding acceptance of the revised terms. We encourage you to review these Terms periodically for changes.
18. Waiver and Severability
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. The waiver of any breach shall not constitute a waiver of any subsequent breach. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law, and the invalid provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
